These Terms and Conditions (“Terms”) govern your access to and use of the YuhChat platform and services provided by Axespire Solutions Limited (“Axespire,” “we,” “our,” or “us”). By accessing or using our website, dashboard, voice assistant services, or related tools, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use our services.

1. 🧾 Definitions

- “Client” refers to any business, organization, or individual subscribing to YuhChat.

- “User” refers to any person interacting with the voice assistant or dashboard.

- “Platform” refers to the YuhChat voice assistant suite, dashboard, and related services.

- “Content” refers to all data, audio, transcripts, branding, and configurations submitted or generated.

2. ✅ Eligibility

You must be at least 18 years old and authorized to represent your business to use YuhChat. You agree to provide accurate account and billing information.

3. 📦 Services Provided

YuhChat offers automated voice assistant services including:

- Call handling and routing

- FAQ and booking flows

- Lead capture and CRM sync (Pro tier and above)

- Analytics and dashboard access

- Custom branding and voice persona (Pro and Enterprise tiers)

Service availability may vary by subscription tier.

4. 💳 Billing & Payments

- All plans are billed monthly unless otherwise stated.

- Payments are processed securely via third-party providers.

- Axespire reserves the right to suspend services for failed or overdue payments.

- Trial periods are offered at our discretion and may be revoked at any time.

5. 📈 Usage Limits

Each plan includes specific call minute allocations. Exceeding usage may result in additional charges or service throttling. Clients are responsible for monitoring their usage via the dashboard.

6. 🔒 Data & Privacy

All data collected through YuhChat is governed by our Privacy Policy. We do not sell or rent user data. Clients are responsible for ensuring their use of YuhChat complies with applicable data protection laws.

7. 📣 Branding & Customization

Clients may customize greetings, voice flows, and branding elements. Axespire reserves the right to reject content that is offensive, misleading, or violates intellectual property laws.

8. 🚫 Prohibited Use

You agree not to:

- Use YuhChat for illegal or fraudulent activities

- Interfere with platform operations or security

- Resell services without written permission (except under Enterprise or reseller agreements)

- Upload or transmit harmful code or content

Violation may result in suspension or termination of services.

9. 🧠 Intellectual Property

All platform code, designs, and proprietary technologies remain the exclusive property of Axespire. Clients retain rights to their own branding, data, and assistant configurations.

10. ❌ Termination

You may cancel your subscription at any time. Axespire may suspend or terminate access for violations of these Terms or non-payment. Upon termination, access to dashboards and assistants will be revoked.

11. 📍 Governing Law

These Terms are governed by the laws of Jamaica and the United States, depending on your business location. Disputes will be resolved through arbitration or local courts as applicable.

12. 🔄 Changes to Terms

Axespire may update these Terms periodically. Continued use of the platform after changes are posted constitutes acceptance of the revised Terms.
